1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between Vekko ("Company," "we," "us," or "our") and you ("Customer," "you," or "your"). By accessing or using the Vekko platform available at vekko.me ("Platform"), you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

2. Description of the Platform

Vekko is a generative AI application-building platform that enables users to create AI-powered tools and applications by providing their domain knowledge — without writing code and without crafting prompts. The Platform is provided on a Software-as-a-Service basis.

3. Right to Use

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use the Platform solely for your internal purposes during your subscription term. You may not sublicense, resell, or transfer this right to any third party.

4. Account Registration & Security

To use the Platform you must register an account. You are responsible for providing accurate registration information, keeping your login credentials secure, and promptly notifying us of any unauthorized access. You are responsible for all activity that occurs under your account.

5. Customer Data & Input

You retain all rights in the data and materials you upload to the Platform ("Customer Data"). By uploading Customer Data, you grant us a non-exclusive, worldwide, royalty-free license to process it solely for providing and maintaining the Platform. You represent that you have all necessary rights to share such data with us.

6. Generated Output — Ownership & Responsibility

Subject to our intellectual property in the Platform itself, you own the applications, tools, websites, and other output generated through the Platform ("Generated Output").

You are solely responsible and liable for any Generated Output you create, publish, or distribute using the Platform. This includes, without limitation, any website, application, or tool you build. Vekko does not review, endorse, or assume any responsibility for Generated Output. You must ensure that your Generated Output complies with all applicable laws and does not infringe on any third-party rights.

7. Restricted Use

You agree not to:

  • Use the Platform or Generated Output in violation of any applicable law or regulation.
  • Create Generated Output that is harmful, abusive, discriminatory, or that infringes the rights of others.
  • Reverse engineer, decompile, or attempt to extract the source code of the Platform.
  • Use the Platform to build a competing product or service.
  • Circumvent any security measures or usage limits imposed by the Platform.
  • Use the Platform or Generated Output in high-risk environments (e.g., healthcare, aviation, weapons systems) where failure could result in bodily harm or significant damage.
  • Send unsolicited communications through the Platform or Generated Output.

8. Third-Party Services & AI

The Platform may integrate with or rely on third-party services, including third-party AI models. We do not control these services and are not responsible for their accuracy, availability, or compliance. AI-generated responses may contain errors — it is your responsibility to verify the accuracy and suitability of any output.

9. Subscription, Fees & Payments

Access to the Platform is provided on a subscription basis. Fees are based on your selected plan, are non-refundable except as required by applicable law, and may be subject to automatic renewal. We reserve the right to change fees upon notice, with any increase taking effect at the start of the next subscription term.

10. Termination

You may cancel your subscription at any time through your account settings. Termination takes effect at the end of the current billing period. We may suspend or terminate your access immediately if you violate these Terms or if we believe your use poses a security risk or harm to others.

11. Disclaimer of Warranties

THE PLATFORM AND ALL GENERATED OUTPUT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, SECURITY, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, VEKKO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM OR ANY GENERATED OUTPUT. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to defend and indemnify Vekko and its affiliates, employees, and agents against any claims, damages, or costs arising from: (a) your Customer Data or Generated Output; (b) your use of the Platform in violation of these Terms or applicable law; or (c) any claim by an end-user of your Generated Output.

14. Copyright & Intellectual Property Claims

If you believe your intellectual property is being infringed by content on the Platform, please contact us at support@vekko.me with a detailed description of the alleged infringement.

15. Privacy

Your use of the Platform is subject to our Privacy Policy. By using the Platform, you acknowledge that you have read and understood how we collect, use, and protect your data.

16. Modifications to the Terms

We may update these Terms from time to time. Changes become effective when posted on the Platform. Your continued use of the Platform after changes are posted constitutes acceptance of the revised Terms.

17. Governing Law & Jurisdiction

These Terms shall be governed by the laws of the State of Delaware, United States, without regard to conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Delaware.
